Welcome to Rdactd Inc. ("Service Provider"), your premier online platform offering a platform for customers to discreetly report and resolve grievances while safeguarding customer identity. By accessing or using our services, you ("User") agree to be bound by these Terms of Use. These Terms govern your access to and use of our services, and any content, functionality, and services offered on or through our platform.

Please read these Terms of Use carefully before you start to use our services. By using our services, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use our services.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

Acceptance of Terms

By accessing or using the services provided by Rdactd Inc. ("Service Provider"), you ("User") agree to be bound by these Terms of Use. If you do not agree to these terms, you must not access or use the services. These Terms of Use constitute a legally binding agreement between you and Rdactd Inc., governing your access to and use of the services provided.

These Terms of Use may be updated or modified by Rdactd Inc. at any time without prior notice to you. Your continued use of the services after any such changes constitutes your acceptance of the new Terms of Use.

Modification of Terms

Rdactd Inc. ("Service Provider") reserves the right, at its sole discretion, to modify or replace these Terms of Use at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

User Registration and Accounts

To access certain features of the Service, you may be required to register for an account. By registering for an account, you agree to provide accurate, current, and complete information as may be prompted by any registration forms on the Service ("Registration Data"); maintain the security of your password and identification; maintain and promptly update the Registration Data, and any other information you provide to the Service, to keep it accurate, current, and complete; and accept all risks of unauthorized access to the Registration Data and any other information you provide to the Service.

You are responsible for all activities that occur under your account. You agree to notify Rdactd Inc. immediately of any unauthorized use of your account or any other breach of security. Rdactd Inc. will not be liable for any loss or damage arising from your failure to comply with this section.

Rdactd Inc. reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

User Conduct

By accessing or using the services provided by Rdactd Inc. ("the Service"), the User agrees to comply with the following conduct guidelines:

• Not to use the Service for any unlawful purposes or in violation of any applicable laws or regulations.
• Not to upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Not to impersonate any person or entity, including, but not limited to, a Rdactd Inc. official, forum leader, guide, or host, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Not to forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Service.
• Not to interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service.
• Not to intentionally or unintentionally violate any applicable local, state, national, or international law.
• Not to provide material support or resources to any organization(s) designated by the United States government as a foreign terrorist organization.

Content Ownership and Use

This section outlines the rights and responsibilities related to content provided by Users ("User Content") and content made available by Rdactd Inc. ("Company Content") on the platform.

User Content: Users retain ownership of any original content they submit, post, display, or otherwise make available on the platform ("User Content"). However, by submitting User Content, Users grant Rdactd Inc. a worldwide, non-exclusive, royalty-free, transferable license (with the right to sublicense) to use, reproduce, distribute, prepare derivative works of, display, and perform that User Content in connection with the service provided by the platform and Rdactd Inc.'s (and its successors' and affiliates') business.

Company Content: All content provided by Rdactd Inc., excluding User Content, is owned by or licensed to Rdactd Inc., and is protected by copyright and other intellectual property rights. Users may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works from, distribute, perform, display, or in any way exploit any of the Company Content in whole or in part without express written permission from Rdactd Inc.

Users agree to not use the platform to post, upload, or distribute any content that infringes upon another party's intellectual property rights or other proprietary rights.

Dispute Resolution

This Dispute Resolution clause applies to any disputes arising out of or related to the Terms of Use or the use of the platform. Both Rdactd Inc. ("the Company") and the user ("You") agree to the following:

1. Informal Resolution: Before filing any claim against the Company, you agree to attempt to resolve the dispute informally by contacting the Company. The Company will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, either party may begin formal proceedings.
2. Arbitration: You and the Company agree to resolve any claims relating to the Terms of Use or the use of the platform through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below.
3. Exceptions to Agreement to Arbitrate: Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the platform, or intellectual property infringement without first engaging in the informal dispute resolution process described above.
4. Arbitration Location: Unless you and the Company agree otherwise, the arbitration will be conducted in the county where you reside.
5. Governing Law: The arbitration agreement will be governed by the Federal Arbitration Act.
6. No Class Actions: You may only resolve disputes with the Company on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

Identity Protection

Rdactd Inc. ("the Company") is committed to protecting the identity and privacy of its users ("Users"). The Company implements robust security measures designed to protect the personal information of Users from unauthorized access, use, alteration, or disclosure. These measures include, but are not limited to, encryption, access control procedures, and secure software development practices.

Users are responsible for maintaining the confidentiality of their account information, including passwords, and for all activities that occur under their account.

The Company will not disclose personal information of Users to third parties without consent, except as required by law or in the good faith belief that such action is necessary to: (a) comply with legal obligations; (b) protect and defend the rights or property of the Company; (c) act in urgent circumstances to protect the personal safety of Users or the public; or (d) protect against legal liability.

Termination

Rdactd Inc. reserves the right to terminate or suspend your access to the platform at any time, with or without notice, for any reason or no reason at all. This includes, but is not limited to, breaches of the Terms of Use, actions that could harm Rdactd Inc. or other Users, or illegal or unethical behavior.

Upon termination, your right to use the platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the platform. All provisions of the Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Limitation of Liability

To the maximum extent permitted by applicable law, Rdactd Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the platform; (ii) any conduct or content of any third party on the platform; (iii) any User Content or Company Content obtained through the platform; or (iv) unauthorized access, use, or alteration of your transmissions or personal information.

Indemnification

You (the "User") agree to indemnify, defend, and hold harmless Rdactd Inc. (the "Company"), its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the platform.

Governing Law

This Terms of Use Agreement ("Agreement") and any disputes arising out of or related to the services provided by the Company shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, this Agreement or the services provided hereunder shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York in each case located in the city of New York and County of New York.
